Who you are agreeing with
MemIndex is made and run by Imogen Labs (“we”). By installing MemIndex or buying hosting, you agree to these terms. If you use MemIndex for a company, you agree on its behalf.
The software
The MemIndex software is licensed under the Apache License 2.0, included with it together with its NOTICE file. That licence, not these terms, sets your rights to use, copy and change the software, and it provides the software as is. The installation page explains how to start.
Hosting
Hosting is a paid monthly subscription. The plans, their prices, any trial period and what each plan includes are on the pricing page, as it stands when you buy or renew.
Lemon Squeezy sells hosting as merchant of record. It takes your payment, charges any sales tax, and renews your plan each month until you cancel. Before you buy, you create your account with your email. After you buy, you make your hosting key in that account. We never email it to you.
If a plan includes a monthly allowance and you use it up, hosted note-writing pauses until your allowance next starts again (each month, on your billing day), unless your plan says otherwise. Your activity is still saved while it is paused, and the notes are written afterwards. Some plans keep going past the allowance; the extra notes are billed at exactly what they cost us, with no markup, up to a monthly cap that an owner can change. We never charge for usage your plan does not describe.
Cancelling and refunds
You can cancel at any time from your Lemon Squeezy account. Your plan keeps working until the end of the period you paid for, and you can resume it before then. When the plan ends, your hosting key stops working and your hosted memory is deleted 30 days later, as the privacy policy explains. Export it first if you want to keep it.
Payments are not refunded, including for the rest of a month after you cancel. If a payment is reversed, for example through your card issuer, the plan ends straight away and its memory is deleted 30 days later.
Your content
Your notes, prompts and the work your agents send are yours. You give us permission to store and process them only to run MemIndex for you, including sending agent activity to the services named in the privacy policy to write your notes. You can delete your content at any time.
Using the service fairly
- Do not try to reach another customer’s data, or to get around limits or security.
- Do not store anything you have no right to store, or anything unlawful.
- Do not use the service to harm others, or put a load on it that harms other customers.
- Do not send patients’ health information to MemIndex hosting; we do not sign business associate agreements.
- Keep your hosting key and private MCP link private. You are responsible for what they are used for.
If you break these rules, we may suspend or end your hosting. Where we can, we will tell you first and give you a chance to fix it.
What we promise, and what we do not
We work to keep hosting available, accurate and secure, with nightly backups. We do not promise that it will never be interrupted, that every note will be correct, or that nothing will ever be lost. Keep your own copies of anything you cannot afford to lose.
As far as the law allows, hosting is provided as is, and our total responsibility for any claim about MemIndex is limited to what you paid us for hosting in the 12 months before the claim. We are not responsible for indirect losses, such as lost profits or lost work. Nothing in these terms limits responsibility that the law does not allow us to limit.
Changes
We may change these terms. We will update this page and its date, and email hosting customers at least 30 days before a change that affects them takes effect. If you do not agree, you can cancel before then.
Law
These terms are governed by the laws of the State of Georgia, USA. Any dispute is decided in the courts of Barrow County, Georgia.
